Extract and certificate from the USREOU

In their daily activities, every entrepreneur is constantly faced with the need to obtain information about a company from the Unified State Register. Despite the fact that today it has become possible to check the status of almost any organization in a matter of seconds using the electronic state register, all kinds of authorities require this information in paper form, especially often - business partners when concluding transactions, including by fax. This data is always required when performing any registration and re-registration actions, and may also be required when participating in a tender, to confirm the status of property with a notary, etc.

Since the term "information or data from the USREOU" is often used, it is worthwhile to first clarify the difference between the various forms: extract, certificate and extract.

On March 1, 2013, a new order of the Ministry of Justice of Ukraine No. 1846/5 dated December 14, 2012 "On Approval of the Procedure for Providing Information from the Unified State Register of Legal Entities and Individual Entrepreneurs" came into force, which changed the forms of requests submitted to the USREOU to obtain extracts, extracts and certificates. The color of the form has changed - certificates were previously issued on purple forms, and extracts - on yellow forms, while the new forms are lilac. The said procedure establishes the mechanism for providing information from the USR and defines its purpose - to provide public authorities and participants in civil turnover with reliable information about legal entities and individual entrepreneurs.

Information from the USREOU is open and publicly available, except for registration numbers of taxpayer registration cards, information on opening and closing accounts, and information on seizure and release of accounts and property.

The Procedure also emphasizes that extracts, excerpts and certificates are issued regardless of the place of registration and storage of registration files of legal entities and individuals.

Although the law does not stipulate the validity of any document, the information in them is relevant only at the time of their issuance. Therefore, it happens that one or another authority requires "refreshing" the information provided, and you have to apply to the USREOU more than once.

Extract from the USREOU

The most voluminous and complete of the documents is an extract, it contains all the basic information, including the list of founders (for legal entities), status, director, types of activities, branches, liquidation commission, etc., so it completely replaces both the certificate and the extract. According to the new procedure, it can be of the following types: Basic, Extended, Selective, and on a separate subdivision.

• Basic - name, code, location, founders and the size of their shares in the authorized capital, contact details, main KVED, manager (and restrictions for him/her), date and number of registration (if after July 1, 2004) or date and number of inclusion in the Unified State Register, information on being in the process of termination (or bankruptcy proceedings), date and reason for termination.
• The Extended Register contains the same information and all KVEDs, information on management bodies, the name of the constituent document, information on the period for creditors to file their claims, information on successors and assigns, the location of the registration file, information on data exchange with the tax authorities, statistics and the Pension Fund - in other words, almost all information from the Register.
• The Selective contains the name, code and location, as well as data on registration actions: name, date and number, place of conduct, what changes were made, and, optionally, any data from the Extended.

Therefore, if you need the date of termination (for example, for the employment center or when applying for social benefits and subsidies), you should take a Selective Extract rather than a certificate from the USR.

Certificate from the Unified State Register

The certificate specifies the presence (or absence) of an entry in the Unified State Register about a legal entity or individual entrepreneur, as well as information about being in the process of termination, bankruptcy proceedings, or termination.

Extract from the USREOU

An extract is issued only to a person personally and without fail during registration actions, in accordance with the Law of Ukraine "On State Registration of Legal Entities and Individual Entrepreneurs" dated 15.05.2003 No. 755-IV, i.e. it is the extract that today acts as a Certificate of State Registration. If it is required in the course of business, the request must be submitted only in person (no mailing is provided), in Ukrainian in print or by hand, without any marks. The extract form is printed on both the front and back sides. Previously, it contained a minimal set of data (date and address of registration, head, whether the company is in the process of termination). Starting from December 17, 2012, the scope of data has been increased to include information from the statistics, tax and Pension Fund on registration, main type of activity, single tax payer registration number, risk class, being in the process of termination or the fact of termination registration.
