A subsidiary is established and terminated by another legal entity as the sole participant. The corporate governance structure, property regime of the subsidiary and the mechanism of its liquidation are determined by its founder at its own discretion.
As a rule, a subsidiary is liquidated by a decision of the relevant management body of a legal entity authorized to do so by its charter. However, there may be cases of compulsory liquidation, for example, in the event of a legal entity being declared bankrupt.
How to liquidate a subsidiary?
The procedure for liquidating a subsidiary consists of the following steps
- preparation of all necessary documents (in particular, a decision on liquidation) based on the data provided by the client;
- carrying out liquidation actions, passing inspections;
- closing a bank account;
- deregistration in ALL instances;
- notifying the licensee (if a license was available);
- making a record of liquidation in the Unified State Register.
To liquidate a subsidiary, the following documents are required:
- certificate of registration of the company;
- certificate of registration in the USREOU;
- the decision (minutes) of the parent company to close the subsidiary (the text of the decision or minutes is provided);
- charter (regulations) of the subsidiary.
After liquidation, you will receive:
- an extract from the Unified State Register of Legal Entities on the closure of the subsidiary.
