    Why private enterprise?

    Private enterprise is a business entity with almost all characteristics of a LLC but  is less regulated than  a LLC (article  113 or the Commercial Code of Ukraine).  It should not be confused with physical person private entrepreneur. 

    Private enterprise may be founded by:

    • one or more physical persons and;

    • one legal entity.

    It also may be founded by one or more participants (physical  persons and business entitles) but it shall not be founded by a number of legal entities.

    Charter establishing a private enterprise shall be signed by all participants.

    There are no legal requirements regarding the amount ofthe charter capital of the private  enterprise it may be  formed by participants’ investments (money and/or property). 

    Owner of a PE or authorized by him body appoints the director of the private enterprise. 

    Location of a private enterprise is the location of its permanent executive body.

    Legal advantages of a private enterprise

    • participants of a PE do not bear personal responsibility for the legal entity's liability.

     How to register a private enterprise?

    The procedure for registering a private enterprise includes following stages:

    • preparation of all necessary legal documents (protocol ofthe general participants' meeting, charter, etc.) on the basis of information provided by the client;

    •  payment of the state duties   and carrying  out registration;

    • obtaining of an extract from USREOU with information  regarding   registration with the tax and the statistics authorities ;

    • production of a seal;

    • assistance in opening of a bank account.

    Following  actions should be made for registration of a private enterprise

    Firstly, you should choose:

    • name of PE;

    • amount  of the charter  capital (no minimun);

    • the order of capital formation (by financial means, property or both);

    • manager;

    • office address (we can provide you a legal adress).

    Documents required for registration of a private enterprise

    If founder is a physical person;

    • copies of director’s passport and taxpayer ID; 

    • notarized power of attorney  from each of the founders to our representatives.

     If founder is a legal entity:

    • a notarized copy of  the certificate indication the state registration of the founder;

    • copy of the charter;

    • copy of the extract from USREOU;

    • decision on the establishment of the private enterprise;

    • director’s passport copy;

    • Power of Attorney.

    If founder is a non-resident legal entity

    • a notarized copy of the document certifying the registration of legal entity in the country of its origin (e.g. , an extract from the trade, bank, court or other registry, certificate, etc.);

    • decision (protocol) of the supreme body of the legal entity on establishing a new legal entity;

    • documents confirming  powers of the person signing the  documents on behalf of the founder;

    • (the decision on directors’ appointment and notarially  authorized copy of the charter).

    After registration you will receive:

    • extract  fromthe state register of enterprises;

    • charter;

    • extract from the statistics department;

    • order on appointingto  director;

    • minutes of general participants’ meeting;

    • seal.

    We provide support in obtaining certificate of single tax payer, or (according to separate procedures) extract from the State register of VAT payers.
