    Features and procedure of registration

    The Law on Charitable Activities and Charitable Organizations divides the subjects under consideration into:

    • institutions
    • foundations (CF).

    A charitable foundation is a charitable organization that operates on the basis of a charter and has members. These persons are not obliged to transfer their assets to the organization to achieve the charitable purposes.

    According to Article 25 of the said Law, Articles 22 of the Laws on Public Associations and on State Registration of Legal Entities, Individual Entrepreneurs and Public Organizations, registration of a separate subdivision of a charitable organization is carried out through its accreditation without granting the status of a legal entity.

    The Ministry of Justice acts as the state registrar.

    List of documents

    In accordance with Article 22 of the Law on State Registration, the following documents must be prepared for the legalization of a representative office:

    • Application;
    • copies of the act on registration of a CF abroad, constituent documents of the CF;
    • a copy of the decision of the non-governmental organization to open a representative office in Ukraine;
    • constituent document of the branch;
    • power of attorney for the representative of the branch;
    • document on payment of the administrative fee;
    • an extract from a trade, banking, or court register confirming the registration of the legal entity;
    • a copy of the document identifying the ultimate beneficial owner.

    The documents must be translated into Ukrainian, apostilled, and notarized.
