In short. We change the director, secretary, registered office and shareholders of Cypriot companies: we review the articles and registers, prepare resolutions, consents and powers of attorney, file forms HE4, HE2 or HE57 with the Registrar of Companies and update the beneficial owner register. Fees are quoted individually after we review the task.
A Cypriot company notifies the Registrar of Companies of any change of directors or secretary on form HE4 within 14 days. A change of registered office is filed on form HE2 and a transfer of shares on form HE57, also within 14 days. Each form costs EUR 20; late notification may be charged EUR 50 plus EUR 1 per day, up to EUR 250. If the beneficial owner changes, the beneficial owner register is updated within 45 days.
Changing a director or secretary
Directors are appointed and removed as provided by the company's articles and Cap.113, usually by resolution of the general meeting or the board. A private company needs at least one director (s. 170 Cap.113) and a secretary; a sole director may act as secretary only in a single-member company (s. 171). After the change, the company files form HE4 with the secretary's declaration that the changes match the register kept at the registered office. Cap.113 does not require directors to be resident in Cyprus, but a change of directors can shift the place of management and control, and with it the company's tax residence.

- resolution of the body authorised by the articles to appoint or remove;
- the new director's consent to act, identity document and KYC information;
- letter of resignation where the director steps down;
- form HE4 with the secretary's declaration;
- powers of attorney, apostille and translation for documents from Ukraine.
If the company fails to notify a resignation within 14 days, the departing director may file an affidavit together with form HE4. A directorship gives no right to live or work in Cyprus; that is arranged separately.
Changing the registered office
A company must maintain a registered office in Cyprus and may move it to any other address in Cyprus. The new address is notified to the Registrar on form HE2 within 14 days with the secretary's declaration. After registration we update the tax department, the bank, the accountant and counterparties, and move the company registers.
Changing shareholders and transferring shares
Share transfers in a private company are notified to the Registrar on form HE57 within 14 days. An allotment of new shares is filed on form HE12 within 1 month, and a purchase of own shares on form HE63 within 14 days. The articles of a private company may restrict share transfers, so we start there. If the ultimate beneficial owner changes, the new details are filed in the beneficial owner register within 45 days.
Amending the articles or the name
The memorandum or articles are amended by shareholder resolution, and copies of the resolutions are filed with the Registrar. A new name is first approved by the Registrar in the same way as on incorporation and then adopted by shareholder resolution.
How we work

- We check the new entry, update the beneficial owner register and list who else to notify: tax department, bank, accountant, counterparties.

Can a Ukrainian citizen be a director of a Cyprus company?
Yes, Cap.113 does not require Cypriot citizenship or residence. Where the directors take decisions affects the company's tax residence, so we plan the board together with the tax model.

What happens to the beneficial owner register after a share sale?
